What is Virtual Wheeling?

The Virtual Wheeling Platform (VWP) is a digital energy settlement solution developed by Mezzanine, a Vodacom company, that enables corporates, municipalities, and energy traders to procure electricity from Independent Power Producers (IPPs) — virtually.

Unlike traditional wheeling, which requires a direct physical connection between generation and consumption sites, virtual wheeling uses smart meter data and automated reconciliation to match energy usage with generation across multiple locations. It supports both Eskom and municipal networks, offering real-time visibility, simplified settlements, and scalable access to clean energy — without changing existing energy supply agreements.

VodaPay Max Promotion

Vodacom Payment Services (Pty) Ltd (“VPS”) is running the “ VodaPay Max Promotion” ("the Promotion") where the qualifying Merchant will receive a percentage of the Device Purchase Price back  (“Reward”).

All participants during the term of the Promotion agree to be bound by the following Terms and Conditions:

Duration

  1. The Promotion will commence on 17 July 2025 and it will run until 31 October 2025 (the “Promotion Period”).
  2. The duration of the Promotion may be extended or curtailed at the discretion of VPS.
  3. VPS reserves the right to amend these Terms and Conditions and where such change is material, VPS shall provide its customers and/or participants with reasonable prior written notice before implementing any such change.

Eligibility

  1. To qualify to participate in the Promotion:
    • During the Promotion Period, the merchant must:
      • be a new VPS merchant (and must not have an existing Merchant Agreement with VPS); 
      • sign a new Merchant Agreement with VPS; 
      • successfully completes the Merchant onboarding process; 
      • purchase a VodaPay Max Device (“Device”) from VPS at the then current purchase price (the “Purchase Price”); 
        ensure the Device is activated to process transactions (“Activation Date”); and
      • For a period of 3 consecutive months from Activation Date, actively trade making use of the Device (“Trading Period”);
      • referred to as “Qualifying Merchants”.
  2. Employees, directors and agents of VPS and all participating stores, their immediate families, life partners, business partners and associates and any person directly involved with the sponsoring, devising, production, management, or marketing of this Promotion are not eligible to participate in this Promotion.
     

Reward

  1. Qualifying Merchants will, after the Trading Period, receive a percentage of the Purchase Price back  as a Reward, which will be calculated as follows: 
    1. The lowest of the total monthly transaction value of the Qualifying Merchant in a calendar month during the Trading Period will be used and the percentage paid back will be determined in accordance with the table below:

    2. Transaction value calculation begins on the 1st of the month. If a Device is activated mid-month, the calculation will start from the 1st of the following month.
    3. The Reward will be paid back into the bank account nominated by the Merchant at onboarding. 
    4. Multiple entries are not allowed.
    5. The claim for the Reward will be subject to security and validation, and VPS reserves the right to withhold the Reward until it is satisfied that the claim is valid.
    6. All Devices will be insured for a period of 12 months from Activation Date, as per the insurance policy.

       

Personal Information

  1. VPS respects the right to privacy and takes the protection of your personal information seriously. VPS will only use your personal information for the purposes of the Promotion as stated in these terms and conditions and in accordance with Privacy Policy available on, https://www.vodacom.co.za/vodacom/terms/privacy-policy/payment-services
  2. You hereby consent to VPS share your personal information with third parties identified by Vodacom from time to time solely for the purpose of execution of the Promotion.
     

General

  1. In the event of a dispute in regard to any aspect of the Promotion and/or these Terms and Conditions, VPS’s decision will be final, and binding and no correspondence will be entered into.
  2. VPS may refuse to award a Reward if any of entry procedures or these Terms and Conditions have not been adhered to if it detects any irregularities or fraudulent practices. VPS is entitled to in its entire discretion to reject any participant for any reason and will not be obliged to notify participants that they are rejected.
  3. VPS is not liable for any technical failures affecting participation.
  4. VPS shall not be liable for any costs incurred by the Qualifying Merchant for participating in the Promotion.
  5. VPS, its directors, employees, agents, and distributors, are not responsible for any misrepresentation (whether written or verbal) in respect of any Reward nor in respect of any warranties, guarantees or undertakings given by any person other than VPS.
  6. If VPS is required by law to alter or cancel any aspect of the Promotion or to terminate it as a result of changes in legislation, or for any reason whatsoever, it will have the right to terminate the Promotion being offered, with immediate effect and without notice. In such event all entrants hereby waive any rights which they may have against VPS and its associated companies, agents, contractors and/or sponsor.
  7. Neither VPS nor any other person or party associated with the Promotion, their associated companies, agents, contractors, and sponsors and any of its personnel involved in the Promotion shall be liable whatsoever for any loss or damage incurred or suffered (including but not limited to direct or indirect or consequential loss), death or personal injury suffered or sustained arising from either participation in the Promotion or from claiming the Reward.
  8. In addition, neither VPS nor its agents shall be responsible for any loss or misdirected entries, including entries that were not received due to any failure of hardware, software, or other computer or technical systems affecting participating and/or the Reward process of the Promotion.
  9. All information relating to the Promotion which is published on any marketing material will form part of these terms and conditions. In the event of any conflict between such marketing material and these terms and conditions, these terms and conditions shall prevail.
  10. Nothing in these Terms and Conditions is intended to, or must be understood to, unlawfully restrict, limit, or avoid any rights or obligations, as the case may be, created for either the participant or the promoter in terms of the Consumer Protection Act, 68 of 2008 (CPA).
